Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, content, and self-serve features made available by MarchAI Health, Inc. ("MarchAI Health," "we," "us," or "our") (the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Relationship to other agreements
If you or your organization have entered into a separate written Master Service Agreement (MSA) with us (together with any Data Processing Addendum or Business Associate Agreement), that agreement governs your use of the products and services it covers, and it controls over these Terms to the extent of any conflict for that use. These Terms apply to use of the public website and to any self-serve or evaluation use of the Services that is not otherwise covered by an MSA.
2. Eligibility and accounts
- You must be at least 18 and able to form a binding contract.
- Where access requires an account, you are responsible for the accuracy of registration information, for keeping credentials confidential, and for all activity under your account.
- You must promptly notify us at security@marchaihealth.com of any unauthorized use or suspected compromise of your account.
3. Acceptable use
You agree not to:
- Use the Services in violation of any applicable law or regulation.
- Upload, transmit, or process data you are not authorized to handle, or that you are contractually or legally prohibited from disclosing.
- Attempt to gain unauthorized access to, probe, scan, or test the vulnerability of the Services or related systems except as expressly permitted in writing.
- Interfere with or disrupt the integrity or performance of the Services.
- Reverse engineer, decompile, or copy any part of the Services except as permitted by law.
- Use the Services to build a competing product or to benchmark without our prior written consent.
- Introduce malware or misuse the Services to harm others.
Note: Handling of regulated data (including PHI) in the production product is governed by the applicable MSA, DPA, and BAA, not by these Terms.
4. Intellectual property
The Services, including all software, content, and trademarks, are owned by MarchAI Health or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. You retain rights to content you submit; you grant us the limited license needed to operate and provide the Services. We welcome feedback and may use it without restriction or obligation.
5. Third-party services
The Services may link to or rely on third-party services. We are not responsible for third-party services, and your use of them is subject to their terms.
6. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARCHAI HEALTH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100).
8. Indemnification
You agree to indemnify and hold harmless MarchAI Health from claims arising out of your breach of these Terms or misuse of the Services, to the extent permitted by law.
9. Termination
We may suspend or terminate your access to the Services at any time if you violate these Terms or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and governing law) will survive.
10. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You and MarchAI Health submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York for any dispute arising out of or relating to these Terms or the Services.
11. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date, and material changes will take effect as required by applicable law. Continued use after changes take effect constitutes acceptance.
